All services are governed by a separate service agreement or proposal sent to clients before commencement. These Terms of Use apply alongside any specific service agreement.

Modifications

We reserve the right to modify, suspend or discontinue any service at any time with reasonable notice. We will not be liable for any modification, suspension or discontinuation of services.

Accurate Information

You agree to provide accurate, complete and up-to-date information when engaging our services. Providing false information may result in immediate termination of services.

Timely Cooperation

You agree to provide necessary content, approvals, access credentials and feedback in a timely manner. Delays caused by the client may affect project timelines and deliverables.

Legal Compliance

You are responsible for ensuring that your business, products and services comply with all applicable laws and regulations. We are not liable for any legal issues arising from your business operations.

Account Security

If you provide us with access to any accounts or platforms, you are responsible for maintaining the confidentiality of those credentials.

Payment Terms

All payments are due as per the agreed schedule in your service proposal. Monthly retainer fees are due on the 1st of each month. Project fees are typically split into milestones.

Late Payments

Late payments may result in suspension of services. A grace period of 7 days is provided. We reserve the right to charge a late fee of 2% per month on overdue amounts.

Refund Policy

Due to the nature of digital services, we do not offer refunds once work has commenced. For monthly retainers, you may cancel with 30 days written notice. No refunds are issued for completed months.

Disputes

Any payment disputes must be raised within 7 days of invoice. Disputes raised after this period may not be considered. We will work in good faith to resolve all billing concerns.

Our Content

All content on our website including text, graphics, logos, images and software is the property of Turban Digital Studio and protected by applicable intellectual property laws.

Client Deliverables

Upon full payment, ownership of final deliverables (websites, graphics, videos) is transferred to the client. We retain the right to showcase work in our portfolio unless explicitly agreed otherwise.

Third-Party Assets

Some deliverables may include licensed third-party assets (stock photos, fonts, plugins). The client is responsible for ensuring continued licensing compliance after project handover.

No Unauthorized Use

You may not copy, reproduce, distribute or create derivative works from our website content without our prior written consent.

Mutual Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets or business strategies shared during the course of the engagement.

Non-Disclosure

We will not disclose your business information, strategies or data to any third party without your explicit written consent, except as required by law.

Duration

Confidentiality obligations survive the termination of our service agreement for a period of 2 years.

No Guarantees

While we strive to deliver the best results, we do not guarantee specific outcomes such as rankings, leads, revenue or ROI. Digital marketing results vary based on many factors outside our control.

Maximum Liability

Our total liability to you for any claim arising out of our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

Indirect Damages

We shall not be liable for any indirect, incidental, special or consequential damages including loss of profits, data or business opportunities, even if advised of the possibility.

Force Majeure

We are not liable for any delay or failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages or platform changes.

By Client

You may terminate our services with 30 days written notice. All outstanding payments for work completed must be settled before termination is effective.

By Us

We reserve the right to terminate services immediately if you breach these terms, fail to make payment, engage in illegal activity or create a hostile working environment.

Effect of Termination

Upon termination, we will hand over all client-owned assets and data within 14 business days. Any work in progress will be delivered in its current state after final payment.

Jurisdiction

These Terms of Use are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.

Dispute Resolution

We encourage resolving any disputes through good-faith negotiation first. If unresolved, disputes shall be settled through arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.
